Terms of Service

By creating an account, downloading our app, opting in to receive one-time verification codes via SMS or email, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 13 years old to use the Services. If you are under 18 (or the age of majority where you live), you may only use the Services with the involvement of a parent or legal guardian.

We collect your date of birth at sign-up and do not knowingly create accounts for, or collect personal information from, anyone under 13.

California minors under 16 will not have their personal information "sold" or "shared" for cross-context behavioral advertising unless they have affirmatively opted in. Registered users under 18 who are California residents may request removal of content they have posted as described in our Privacy Policy (Cal. Bus. & Prof. Code § 22581).

Padozi has two account types: Consumer accounts, used to browse, like, save, and discuss content; and Business accounts, used to post advertisements, drops, events, and jobs, and to communicate with consumers via direct messaging. You are responsible for activity on your account and for keeping your credentials secure. Notify us promptly at support@padoziapp.com of any suspected unauthorized access.

You agree to provide accurate, current information when you register and to keep it up to date.

You agree not to:

• Post unlawful, infringing, deceptive, harassing, hateful, or sexually exploitative content;
• Impersonate any person or business or misrepresent your affiliation;
• Send unsolicited bulk messages, spam, or chain communications;
• Scrape, crawl, or systematically extract data from the Services without our prior written consent;
• Reverse engineer, decompile, or attempt to derive source code from the Services;
• Interfere with the Services, probe for vulnerabilities, or bypass rate limits or access controls;
• Use the Services to violate any applicable law, including California consumer-protection, advertising, and telemarketing laws.

Reporting and blocking. Padozi provides in-app tools to report objectionable content and to block other users from contacting you or appearing in your feeds (including direct messages and Spills). We review reports and may remove content, suspend accounts, or take other action at our discretion. Users who engage in harassment, abuse, threats, or other violations of these Terms may have their accounts suspended or terminated without notice.

If you post an advertisement, drop, offer, or any commercial content on Padozi, you represent and warrant that:

• Your content is truthful, not misleading, and complies with the FTC Act and the FTC Endorsement Guides;
• You have all rights, licenses, and authorizations necessary to publish the content and to make any offers contained in it;
• Any prices, availability, geographic restrictions, and material terms are clearly and conspicuously disclosed;
• You will honor offers as posted and will handle customer complaints and refunds in good faith;
• You will not advertise: illegal goods or services, firearms, regulated drugs or paraphernalia, sexually explicit material, multi-level marketing, gambling without applicable licensing, or any category we prohibit from time to time in our published policies.

We may, at our discretion and without liability, remove or restrict any content that we believe violates these Terms or our policies.

You retain ownership of the content you submit to Padozi. By submitting content, you grant Padozi a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), publicly display, publicly perform, and distribute that content solely to operate, promote, and improve the Services. This license ends when you delete the content, except to the extent it has been shared with others who have not deleted it, or as required to comply with law.

Email verification (default)

By entering your email address and tapping "Send code" during sign-in or sign-up, you consent to receive a one-time verification email from Padozi LLC, delivered through our email service provider (Resend). These are transactional messages required to access your account.

SMS verification (when phone sign-in is enabled)

What you'll receive. One-time verification codes sent only when you request them by attempting to sign in or sign up. We do not send marketing or promotional SMS messages.

Frequency. Typically one (1) SMS per sign-in attempt. Message and data rates may apply. Padozi and Twilio are not responsible for any charges imposed by your wireless carrier.

Opt out. Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any Padozi text to opt out of SMS messages. Reply HELP or INFO for help, or email support@padoziapp.com.

Carriers. Supported on AT&T, Verizon, T-Mobile, Sprint, Boost Mobile, U.S. Cellular, Cricket, MetroPCS, and most other U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.

Information collected in connection with these verification messages is handled as described in our Privacy Policy. We do not sell or share mobile opt-in data, phone numbers, or email addresses with third parties for their own marketing purposes.

Subject to these Terms, Padozi grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Padozi mobile apps on devices you own or control, solely for your personal, non-commercial use (or, for Business accounts, internal business use).

Apple App Store users. The following additional terms apply if you downloaded the app from the Apple App Store and apply to the extent of any conflict with these Terms:

• These Terms are between you and Padozi only, not with Apple. Apple is not responsible for the app or its content.
• Your license is limited to use on Apple-branded devices that you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
• Padozi, not Apple, is responsible for addressing any claims relating to the app, including product-liability claims, claims that the app fails to conform to legal requirements, and consumer-protection claims.
• If a third party claims the app or your use infringes its intellectual property, Padozi (not Apple) is responsible for the investigation, defense, settlement, and discharge of that claim.
• You represent that you are not located in a U.S.-embargoed country and are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play users. If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service.

"Padozi", the Padozi logo, and the look and feel of the Services are trademarks and trade dress of Padozi. All other marks are the property of their respective owners. Except as expressly granted, no rights are licensed to you.

If you believe content on Padozi infringes your intellectual property rights, contact us at legal@padoziapp.com with a detailed description of the work, the allegedly infringing material, and your contact information. We review reports in good faith and will take appropriate action.

We may terminate accounts of repeat infringers in appropriate circumstances.

The services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Padozi does not warrant that the services will be uninterrupted, secure, or error-free, or that any content (including third-party advertisements) is accurate or reliable.

To the maximum extent permitted by law, Padozi and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to the services.

Padozi's aggregate liability for all claims relating to the services will not exceed the greater of (a) one hundred U.S. dollars ($100.00) or (b) the amounts you paid to Padozi in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions the above limitations apply only to the maximum extent permitted by law.

You will defend, indemnify, and hold harmless Padozi from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) content you submit; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution. Before filing any claim, you and Padozi agree to try to resolve the dispute informally by emailing legal@padoziapp.com with a written description and your contact details, and to negotiate in good faith for at least 60 days.

Binding arbitration. If we cannot resolve the dispute informally, you and Padozi agree to resolve it by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in San Francisco County, California, or by video conference at your option. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Padozi agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to legal@padoziapp.com within 30 days of first accepting these Terms. Your notice must include your name, the email address tied to your account, and a clear statement that you opt out of arbitration.

Small-claims carve-out. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction.

Forum. Subject to the arbitration provision above, the state and federal courts located in San Francisco County, California have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction there.

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law, or to protect the Services or our users. Sections that by their nature should survive termination (including IP, disclaimers, limitations, indemnity, and dispute resolution) will survive.

We may update these Terms from time to time. If we make material changes, we'll provide reasonable notice (for example, by email or in-app notice) before they take effect. Continued use of the Services after the effective date constitutes acceptance.
